Terms of Service

1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of lineside.ai and the LineSide AI products and services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If you or your organization has a separate written agreement with LineSide covering the Services, that agreement controls to the extent it conflicts with these Terms.
2. Eligibility and accounts
You must be legally capable of entering into these Terms and must use the Services for lawful business purposes. You are responsible for accurate account information, maintaining the confidentiality of credentials, activity under your account, and promptly notifying us of suspected unauthorized access.
An organization administrator may manage accounts, permissions, integrations, content, and retention within the organization’s workspace. Your access may be subject to your organization’s policies and instructions.
3. The Services
LineSide provides software for organizing operational data, communications, workflows, automations, analytics, and AI-assisted work. We may improve or modify the Services over time. We will provide notice when required if a change materially reduces purchased functionality.
Preview, beta, trial, and evaluation features may be incomplete, change without notice, and be subject to additional terms or limits. They are provided for testing and evaluation unless we state otherwise.
4. Customer content and connected services
You retain ownership of data, messages, files, prompts, instructions, and other content you or your organization submits to the Services ("Customer Content"). You grant LineSide a limited right to host, copy, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve the Services and as otherwise instructed by you or permitted by law.
You represent that you have the rights and permissions needed for Customer Content and any connected account. When you connect a third-party service such as Gmail, you authorize LineSide to access and process information from that service according to the permissions you grant, your configuration, our Privacy Policy, and the third party’s terms. You may revoke access through LineSide or the third-party provider.
Deleting a synchronized item from LineSide may affect only the LineSide copy and may not delete the original item from a connected service. You are responsible for reviewing the effect of an action before confirming it.
5. AI-assisted features and automations
The Services may generate summaries, recommendations, forecasts, drafts, classifications, or actions using artificial intelligence. Outputs may be incomplete, inaccurate, or unsuitable for your circumstances. You are responsible for reviewing outputs and applying appropriate human oversight before relying on them or using them to make operational, safety, employment, financial, legal, or other consequential decisions.
You are responsible for the rules, approvals, permissions, and instructions you configure. Do not configure an automation to take an action unless you have authority to take that action and have implemented appropriate review and safeguards.
6. Acceptable use
You may not use the Services to violate law or another person’s rights; access accounts or data without authorization; distribute malware, spam, or deceptive communications; bypass security or usage controls; probe or disrupt the Services; scrape or resell the Services except as authorized; build a competing product using non-public elements of the Services; or submit content that is unlawful, infringing, or harmful.
You may not use connected communications features for unsolicited bulk messaging or in a manner that violates provider policies. We may investigate suspected violations and suspend access when reasonably necessary to protect the Services, users, or third parties.
7. LineSide technology and feedback
LineSide and its licensors retain all rights in the Services, software, designs, documentation, models, workflows, and other technology, excluding Customer Content. These Terms grant you only a limited, non-exclusive, non-transferable, revocable right to use the Services during the applicable subscription or authorized evaluation period.
If you provide suggestions or feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission.
8. Fees and subscriptions
Paid Services, fees, usage limits, subscription periods, and payment terms will be described in an order form, checkout page, or other written agreement. Unless that agreement states otherwise, fees are non-refundable except where required by law, and you are responsible for applicable taxes other than taxes on LineSide’s income.
9. Third-party services
The Services may interoperate with third-party products. Those products are governed by their own terms and privacy practices, and LineSide is not responsible for third-party services or for changes, suspension, or loss of access caused by them. Your use of Google features is also subject to applicable Google terms and policies.
10. Confidentiality and security
Each party may receive non-public information from the other that is identified as confidential or should reasonably be understood as confidential. The receiving party will use reasonable care to protect it and use it only for the relationship, except where disclosure is authorized or legally required.
We use safeguards designed to protect the Services, but no system is completely secure. You are responsible for configuring access appropriately, maintaining backups where appropriate, and notifying us promptly of suspected compromise.
11. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay applicable fees, or if continued provision is prohibited by a provider or law. Where practicable, we will provide notice and an opportunity to cure.
Upon termination, your right to use the Services ends. Data export and deletion are governed by the applicable agreement and Privacy Policy. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, and general terms.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LINESIDE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR AI-GENERATED OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR OPERATIONAL DECISION.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded. Any service levels or additional warranties must be stated in a separate written agreement.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINESIDE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID LINESIDE FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID LINESIDE. These limitations do not apply where they are prohibited by law or where a separate written agreement provides otherwise.
14. Changes to these terms
We may update these Terms from time to time. We will post the revised Terms and update the effective date. If a change materially affects your rights, we will provide additional notice when required. Continued use after the revised Terms take effect constitutes acceptance of the updated Terms.
15. General terms
You may not assign these Terms without our consent, except as part of a permitted merger or sale of substantially all relevant assets. We may assign these Terms in connection with a reorganization, merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
These Terms, together with referenced policies and any applicable written agreement, are the entire agreement about the Services. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. Governing law and dispute terms, where needed, will be specified in the applicable customer agreement or as required by applicable law.
